3 new Counsel and 6 new Partners at Elvinger Hoss Prussen
The partners of Elvinger Hoss Prussen are delighted to announce that Charlotte Chen, Claire De Boeck and Katrien Veranneman have been promoted to Counsel. Ana Bramao, Frédéric Clasen, Gary Cywie, Yves Elvinger, Anna Hermelinski-Ayache and Benjamin Rossignon have been promoted to Partner.
Counsel Charlotte Chen is located in Hong Kong and practises investment fund and corporate law. She specialises in the field of establishment and structuring of investment funds and participates in acquisition and financing transactions.
Charlotte holds a maîtrise en droit from the Université Paris II Panthéon-Assas (France) and a Master’s degree in European law from the Université Paris 1 Panthéon-Sorbonne (France).
She is a member of the Regulatory Sub-Committee of the HKIFA (Hong Kong Investment Funds Association) and a member of the Hong Kong Sub-Committee of ALFI (Association of the Luxembourg Fund Industry). Charlotte became a member of the Paris Bar in 2009 and a member of the Luxembourg Bar in 2014.
Counsel Claire De Boeck’s practice concentrates on collective asset management and investment funds. Claire’s principal field of activity is the structuring and formation of private equity, real estate and debt funds under the form of regulated or non-regulated vehicles. She advises a number of investment fund promoters and other financial institutions on all aspects of these alternative investment funds, including investment management and advisory issues.
Claire holds a licence en droit from the Université catholique de Louvain (Belgium). She was a member of the Brussels Bar from 1995 to 2013 and has been a member of the Luxembourg Bar since 2006.
Counsel Katrien Veranneman advises in particular financial sector companies on regulatory matters, including licensing and approvals, bank secrecy, anti-money laundering legislation, sanctions, as well as on compliance matters. She is a European Union law expert and is also specialised in competition law, state aid and EU litigation matters.
Katrien holds a Licentie in de Rechten from the Katholieke Universiteit Leuven (Belgium) and a Master’s degree in European law from the College of Europe (Belgium). She also holds a LLM degree from the Law School at Northwestern University (USA), as well as a certificate in business administration from Kellogg School of Management.
Katrien became a member of the Brussels Bar in 1997 and a member of the Luxembourg Bar in 2016. Prior to joining the firm, Katrien worked as référendaire (legal secretary) at the General Court of the European Union for twelve years.
Partner Ana Bramao’s principal fields of expertise are finance, structured finance, corporate law, mergers and acquisitions, real estate acquisition structuring and private equity. She is also regularly involved in corporate litigation matters.
Ana holds a Master’s degree in distribution and business contractual law from the Université Montpellier 1 (France). She has been a member of the Luxembourg Bar since 2009.
Partner Frédéric Clasen advises banks, corporations and private equity funds in corporate, financing and capital market transactions as well as on a continuous basis for corporate housekeeping and compliance matters. His areas of expertise focus specifically on corporate law, mergers and acquisitions, shareholders’ agreements, capital markets and finance.
He holds a maîtrise en droit and a Master’s degree in international business law from the Université Paris 1 Panthéon-Sorbonne (France). He also holds an LLM in American law from the Boston University School of Law (USA). He is a member of the Regulatory & Legal Watch working group of the Luxembourg Capital Markets Association and has been a member of the Luxembourg Bar since 2010.
Partner Gary Cywie specialises in Technology. His particular areas of expertise are the drafting and negotiating of IT outsourcing agreements in the financial services and insurance sectors, software licence and maintenance agreements and commercial contracts. In addition, he specialises in data protection and privacy, internet and e-commerce, electronic signature, electronic archiving, IT security and media and telecommunications. He also handles IP matters. Gary is also involved in Fintech developments, more particularly in relation to distributedl ledger technologies (DLT) such as blockchains, smart contracts and virtual currencies.
Gary holds a Law degree from the Université de Liège (Belgium), and a postgraduate certificate in Internet strategic management from the Laboratory for New Information and Communication Technologies Studies in collaboration with the Université de Liège (Belgium).
He is a member of the IT Committee of the American Chamber of Commerce (AMCHAM Luxembourg) and a member of the Association Luxembourgeoise pour la Protection des Données (APDL). He is also a member of the Blockchain and crypto working group at the Association Luxembourgeoise des Compliance Officers (ALCO) and has been a member of the Luxembourg Bar since 2006.
Partner Yves Elvinger advises clients in relation to regulatory matters and the structuring of their Luxembourg investment fund operations and their financial sector activities. He specialises in the field of undertakings for collective investment (including Exchange Traded Funds) and other investment vehicles as well as in management companies and alternative investment fund managers (AIFMs).
Yves holds a maîtrise en droit from the Université Robert Schuman in Strasbourg (France).
He is a member of the working group of the ALFI (Association of the Luxembourg Fund Industry) on Exchange Traded Funds and a member of the EFAMA working group on Exchange Traded Funds. He has been a member of the Luxembourg Bar since 2010.
Partner Anna Hermelinski-Ayache’s practice concentrates on corporate law, mergers and acquisitions, joint ventures, financial and securities law and corporate restructuring. She advises a number of private equity firms, international groups, lenders, borrowers, underwriters, sponsors and venture capital firms, on corporate re-organisations, financing and re-financing as well as restructurings.
She holds a maîtrise in International and European law from the Université Toulouse 1 Sciences Sociales (France) and a diploma in common law from University College Dublin (Ireland). She also holds a DESS (diplôme d’études supérieures spécialisées) in geopolitics and international relations from the Institut d’Études Politiques de Toulouse (France) in partnership with Staffordshire University (UK).
Anna is a member of the LPEA (Luxembourg Private Equity and Venture Capital Association) and has been a member of the Luxembourg Bar since 2008.
Partner Benjamin Rossignon’s practice focuses on collective asset management and investment funds and encompasses alternative investment funds as well as undertakings for collective investment in transferable securities. He assists a number of investment fund promoters and other financial institutions in relation to the set-up and structuring of their Luxembourg investment fund operations.
He holds a licence in banking, finance and business law from the Université catholique de Louvain (Belgium) and has been a member of the Luxembourg Bar since 2009.
The partners of Elvinger Hoss Prussen would like also to congratulate Nicolas Fermaud for his promotion to Partner at Elvinger New York. Since 2017, he acts as Head of Elvinger New York and assists US companies on all aspects of their Luxembourg legal requirements in association with Elvinger Hoss Prussen.
Partner Nicolas Fermaud practices commercial and financial law and he specialises in investment vehicles. He advises asset managers and their financiers throughout the investment cycle: fund raising, set-up of the investment platform, its operation (incl. investments and divestments) and its liquidation.
He holds a licence en droit from the Université catholique de Louvain (Belgium).
Nicolas is an Executive Committee member and secretary of the Luxembourg-American Chamber of Commerce in New York and a member of the editorial board of The Investment Lawyer.
He has been a Solicitor in England and Wales since 2010, and a member of the Luxembourg Bar since 2006. He is registered in New York as a Foreign Legal Consultant.
